1. Introduction

Thank you for visiting Hillche.

These Terms of Use apply to the use of services, software applications, and websites operated by Hillche (collectively referred to as the “Service”). These terms constitute an agreement between you and Hillche, located in Seoul, South Korea. By using this Service, you are considered to have agreed to these terms.

Our Privacy Policy explains how Hillche collects and uses personal information. While it is not a part of these terms, it is an important document related to users’ personal information, so please review it.

2. Registration and Access

Minimum Age. The minimum age to agree to use Hillche’s Service is 13 years or the minimum age as determined by your country. If you are under 18, you must have parental or legal guardian permission to use this Service.

Registration. When creating an account for Service use, please provide accurate and secure information. You may not share your account credentials or provide your account to others, and you are responsible for all activities that occur under your account. If you create an account or use the Service on behalf of another individual or organization, you must have the authority to accept these terms on their behalf.

3. Use of Service

Account Management. An account registered with Hillche’s Service is for personal use only, and you may not allow others to use your account. You are responsible for managing your password to prevent unauthorized access to your Hillche account and the Service. To enhance security, we may require additional verification to prevent unauthorized access to your account. If you discover any unauthorized use, please notify us at contact@hillche.com, and we will guide you on how to secure your account.

Your Rights. Subject to your compliance with these terms, you may access and use the Service. In using Hillche’s Service, you agree to abide by applicable laws and any other documents, guidelines, or policies Hillche provides to you.

Prohibited Actions. You may not use Hillche’s Service for any unlawful, harmful, or malicious activity. Prohibited actions include, but are not limited to:

  • Using the Service in a manner that infringes, abuses, or violates others’ rights
  • Modifying, copying, renting, selling, or distributing the Service
  • Reverse engineering, decompiling, or attempting to discover the source code or fundamental components of the Service’s algorithms or systems, or assisting others in doing so (unless applicable law prohibits such restrictions)
  • Extracting data automatically or programmatically
  • Interfering with or circumventing any fee limits, restrictions, security, or safeguards designed to mitigate risk in the Service

Software. In the Service, you may download software such as mobile applications, which may be automatically updated to the latest version. Hillche’s software may include open-source components governed by their own licenses.

Corporate Domain. If you register an account using an email address owned by an organization, your account may be added to the organization’s business account with us, and you will be notified to facilitate account transfer. Once transferred, the organization’s administrator can control your account, including access to content and restrictions on your access. For example, an account registered with your-name@example.com could be added to the business account of the organization owning the example.com domain, with the effects as described.

Third-Party Services. The Service may include third-party software, products, or services (collectively, “Third-Party Services”), as well as outputs from such Third-Party Services. These Third-Party Services and outputs are subject to their own terms, and we are not responsible for them.

Feedback. Hillche may receive feedback from you to improve and develop the Service. By providing feedback, you agree that Hillche may use it freely without restrictions or compensation.

4. Content

Your Content. You may provide input (“Input”) to the Service and, based on that, receive output (“Output”) from the Service. Collectively, the Input and Output are referred to as “Content.” You are responsible for ensuring that your Content does not violate applicable laws or these Terms. You represent and warrant that you hold all necessary rights, licenses, and permissions to provide Input to the Service.

Content Ownership. To the extent permitted by applicable law, any intellectual property rights, including copyright, in the Content uploaded by users remain with the rightful owner. Copyright and intellectual property rights in the Service and any content created by Hillche within the Service belong to us.

Use of Your Content. We may use your Content for providing, maintaining, developing, and improving the Service, for legal compliance, enforcing our terms and policies, and ensuring the security of the Service.

5. Intellectual Property Rights

Hillche owns all rights, title, and interest in and to the Service. You may use Hillche’s name and logo only if expressly permitted by Hillche in response to your request.

6. Paid Accounts

Billing. If you purchase the Service, you must provide complete and accurate billing information, including a valid payment method. For paid subscriptions, your payment method will be automatically charged at each agreed renewal date until you cancel the subscription. You are responsible for all applicable taxes, and we may charge tax where required. If payment is not completed, we may downgrade your account or suspend access to the Service until payment is made.

Cancellation. You may cancel a paid subscription at any time. Unless required by law, payments are non-refundable. These Terms do not override any mandatory local laws regarding your right to cancel.

Changes. We may change our prices from time to time. In the event of a price increase, we will notify you at least 30 days in advance, and the increase will take effect at your next renewal. If you do not agree to the price increase, you may cancel your subscription.

Refunds. Refunds are provided at the sole discretion of Hillche and on a case-by-case basis and may be refused. Hillche will refuse a refund request if we find evidence of fraud, refund abuse, or other manipulative behaviour that entitles Hillche to counterclaim the refund. This does not affect your rights as a Consumer in relation to Products which are not as described, faulty or not fit for purpose.

If you think that you are entitled to a refund, please contact us at contact@hillche.com using the form provided below. Hillche will respond as soon as possible after verifying your eligibility for a refund. This process may take up to 7 business days.

7. Termination and Suspension

You may discontinue using the Service at any time. We reserve the right to suspend, terminate, or delete your account if we determine:

  • You have violated these Terms or Hillche’s usage policies.
  • Such action is required for legal compliance.
  • Your use of the Service poses a risk or harm to Hillche, other users of our Service, or third parties.

If your account is inactive for over a year and does not have a paid subscription, we may terminate your account. In such cases, we will provide prior notice. However, continued inactivity or the lack of a paid subscription does not necessarily imply termination.

Appeal. If you believe your account was suspended or terminated in error, you may contact us at contact@hillche.com to appeal.

8. Service Discontinuation

We may decide to discontinue the Service; if we do so, we will provide prior notice and refund any unused prepaid services.

9. Disclaimer of Warranties

The Service is provided “as is.” To the extent permitted by law, we and our affiliates and licensors make no warranties (express, implied, statutory, or otherwise) regarding the Service, including any implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, or quiet enjoyment, and disclaim any warranties arising from course of dealing or usage of trade. We do not guarantee that the Service will be uninterrupted, accurate, error-free, secure, or free from loss or alteration of content.

You assume full responsibility for any risks associated with using outputs from the Service and agree not to rely on them as the sole source of truth, factual information, or as a substitute for professional advice.

10. Limitation of Liability

Hillche and its licensors are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, goodwill, data loss, or other losses, even if we were aware of the possibility of such damages. Under these Terms, our total liability is limited to the greater of $100 or the amount you paid for the Service during the 12 months preceding the claim. This limitation applies to the maximum extent permitted by applicable law.

Some countries and states do not allow the exclusion of certain warranties or the limitation of certain damages, so some or all of the above may not apply to you, and you may have additional rights. In such cases, these Terms limit our liability to the maximum extent allowed by your country of residence.

11. Indemnification

If you are a business or organization, to the extent permitted by law, you agree to indemnify and hold harmless us, our affiliates, and our employees from any costs, losses, liabilities, and expenses (including attorney’s fees) arising from any third-party claims related to your use of the Service and Content or any breach of these Terms.

We will compensate you for any damages you incur due to our negligence, as stipulated in these Terms and applicable law. However, we are not liable for the following types of damages, and to the maximum extent permitted by law, we exclude liability for indirect, special, consequential, exemplary, and punitive damages:

  • Damages arising from acts of nature or other unforeseeable events beyond our control
  • Damages resulting from service disruptions caused by your fault
  • Personal damages incurred during access or use of the Service
  • Damages from unauthorized access to or use of our servers by third parties
  • Damages resulting from interference with server transmissions to or from our servers by third parties
  • Damages caused by third parties transmitting or distributing malicious programs
  • Damages due to data omission, deletion, or destruction, defamation, or other damages incurred by third-party use of the Service
  • Other damages not caused by our intentional misconduct or negligence

12. Dispute Resolution

You and Hillche agree to the following provisions for resolving disputes.

Informal Dispute Resolution. Before pursuing formal legal action, we aim to understand and resolve your concerns. We agree to attempt to resolve disputes informally before filing any lawsuits. We agree to communicate by sending notice to the email address associated with your account. If the dispute cannot be resolved within 60 days, either party has the right to initiate arbitration. Should either party request a settlement meeting during this period, both parties agree to participate. All statutes of limitations are tolled during this informal resolution process.

13. Copyright Infringement

If you believe your intellectual property rights have been infringed, please notify us at contact@hillche.com. Hillche may remove or disable content it deems to violate these Terms or appears to infringe upon copyright, and, in appropriate cases, terminate accounts of repeat infringers.

A copyright infringement notice must include the following information:

  • A physical or electronic signature of the person authorized to act on behalf of the copyright owner.
  • A description of the copyrighted work you claim has been infringed.
  • A description of where the allegedly infringing material is located on our site to help us find it.
  • Your address, telephone number, and email address.
  • A statement made in good faith that the disputed use is not authorized by the copyright owner, its agent, or the law.
  • A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

14. General Provisions

Assignment. You may not assign or transfer any rights or obligations under these Terms, and any attempt to do so is void. We may assign our rights or obligations under these Terms to any affiliate, subsidiary, or successor related to the business of this Service.

Changes to These Terms or the Service. We continuously work to develop and improve the Service. Therefore, we may update these Terms or the Service from time to time. For example, we may change these Terms or the Service due to:

  • Changes in laws or regulatory requirements.
  • Security or safety reasons.
  • Situations beyond our reasonable control.
  • Routine changes during the course of developing the Service.
  • Adapting to new technologies.

If a change to these Terms significantly affects you, we will provide prior notice at least 30 days in advance via email or in-product notifications. All other changes take effect immediately upon posting on our website. If you disagree with any changes, you must discontinue use of the Service.

Entire Agreement. These Terms represent the complete agreement between you and Hillche regarding the Service and override all prior or concurrent agreements, except for any specific service terms.

Governing Law. These Terms are governed by the laws of South Korea, excluding conflict of law principles.
